You shall use your best efforts to cooperate with Group 23 in the defense of any claim. Group 23 reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. TERMINATION This agreement is effective until terminated by either party. You may terminate this agreement at any time by destroying all materials obtained from any and all Group 23 site(s) and all related documentation and all copies and installations thereof, whether made under the terms of this agreement or otherwise. This agreement will terminate immediately without notice from Group 23 if in Group 23's sole discretion you fail to comply with any term or provision of this agreement. Upon termination, you must destroy all materials obtained from this site and any and all other Group 23 site(s), and all copies thereof, whether made under the terms of this agreement or otherwise. DISCLAIMER THE MATERIALS IN THIS SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
